Terms of Service

Effective date: October 18, 2026
Last updated: October 18, 2026

These Terms of Service (the "Terms") are a binding agreement between Femi Studio LC ("Tojuri," "we," "us," or "our") and the business or individual accepting them ("Customer," "you"). They govern your use of https://tojuri.com (the "Site") and the Tojuri service (the "Service").

By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you are accepting on behalf of a company, you represent that you have authority to bind that company.

1. The Service

Tojuri is a backup app for the Mac. It encrypts your files on your own computer before they leave it, then keeps them in cloud storage that belongs to you, under your own provider account and your own billing relationship with that provider. Tojuri does not hold your files and cannot read them. You hold the encryption key, and Tojuri gives you an offline Recovery Kit to keep. Before its public release, Tojuri will also publish an open-source recovery tool and its storage format, so your files stay recoverable without Tojuri and without this company.

We may improve, modify, or discontinue features of the Service. We will provide reasonable notice of material reductions in core functionality.

2. Eligibility and accounts

The App is available to users 18 years of age or older. It runs on your own device. Backing up to your own cloud storage needs a Tojuri account, which during early access is by invitation. Keep access to the email address on your account: it is how you sign in. You are responsible for the devices you install it on and for anything created with it on those devices.

3. Your responsibilities

You are responsible for your use of the App and for the files you choose to protect with it. In particular, you agree that you will:

  • Keep the Recovery Kit the App gives you. Your files are encrypted with a key only you hold, and the Kit is how you prove that key and reach them. We do not have it, we cannot reset it, and without it your protected files cannot be recovered by anyone, including us;
  • Use the App only for lawful purposes, and only on files you have the right to copy and keep;
  • Hold your own account with the storage provider you choose, and pay that provider directly for the storage, request, and recovery charges they bill you;
  • Keep a second copy of anything you cannot afford to lose. The App is one layer of protection, not a guarantee against every kind of loss.

4. What the App does and does not promise

The App copies and encrypts the files you choose, and checks what it stored. No backup software can promise that every file is captured, that a stored copy is never damaged, or that a recovery always succeeds. Hardware, networks, operating systems, and storage providers all fail sometimes. You are responsible for checking that your protection is working and for testing a recovery before you need one. The App does not provide legal, medical, financial, or other professional advice.

5. Your data

You own your data. As between the parties, you retain all rights to the information you submit through the Service ("Customer Data"). You grant us a limited license to host, process, transmit, and display Customer Data solely to provide and improve the Service, ensure security, and comply with law.

Your files never become our data. The files you protect are encrypted on your device and written to storage you own, and are never submitted to us, so the license above applies only to information you actually send us through the Site, such as your waitlist email or a support message. We train no models on your content, because we never have it.

You are responsible for the accuracy and lawfulness of Customer Data and for having the right to submit it to the Service.

6. Fees and billing

Plans and prices. Tojuri offers these plans:

  • Personal, $39 a year, renewing each year until you cancel. It covers one Mac and the drives attached to it: backups to your own storage, alerts, updates to the App, and support.
  • Founder, $99 once, offered to the first 500 buyers only. It covers one Mac and the drives attached to it, and every update to Tojuri for Mac. Our hosted services for it, such as sign-in, alerts, and the update feed, are provided for at least 5 years from your purchase, and after that for as long as we run them for subscribers. It does not include future apps or services, such as an iPhone app or managed storage; founders are offered a discount on those instead. It does not renew.

Who sells it. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle.com provides all customer service inquiries and handles returns. It takes your payment, adds any sales tax or VAT that applies where you live, and issues your receipt, and its buyer terms at https://www.paddle.com/legal/buyer-terms also apply to your purchase. We support the App itself. Prices are in US dollars, and tax, where it applies, is added at checkout.

Automatic renewal. A yearly plan renews automatically at the end of each year, and Paddle.com charges the payment method you used at the price then current, until you cancel. We will tell you before a price change applies to you, and we will remind you before a renewal where the law requires it. You can cancel at any time: in the App, open Settings, then Storage, then Your Tojuri Account, and choose Manage, which opens Paddle.com’s page for your plan; or email hello@tojuri.com. Cancelling stops the next renewal, and your plan keeps working until the end of the year you paid for.

Refunds. If you ask within 30 days of a purchase or a renewal, we will refund that payment in full, through Paddle.com. A refund covers our price only. It never covers what your storage provider charged you, because those charges are between you and that provider. A refunded payment, or a payment you dispute with your bank, ends that plan at once. Where the law gives you a longer right to cancel or to a refund, that right applies as well.

Your backup after a refund. A refund does not touch your backup. It stays in your own storage account, under that account’s lock: each backup is locked for 180 days after it is made, and in that time neither we, the App, nor everyday access to your account can change or delete it. Only your own account’s administrator, using a deliberate override, can remove it earlier. What your storage provider charges for it, during the lock and after, stays between you and that provider, and we do not refund it. To delete it, sign in to your Amazon account and delete the setup named “tojuri”, then the two storage areas whose names start with “tojuri-”. Amazon lets you delete a backup once its lock ends, or earlier with your administrator’s override. Until you delete it, Amazon keeps billing you for it.

When a plan ends. If a renewal does not go through, or you cancel, you have 21 days of grace after the end of the year you paid for. After that, new backups to your storage pause. Nothing is deleted: your backup stays in your own storage, and getting files back, your Recovery Kit and the published recovery tool keep working whatever the state of your plan. Updates to the App continue. Choosing a plan again resumes backups.

One Mac per plan. Each plan covers one Mac and the drives attached to it. If you add another Mac to the same account, backups move to the newest one, and the older Mac can still get files back.

If our billing service is unavailable. A problem with our billing service never stops the backups of anyone whose plan is in good standing.

Storage and recovery charges are separate from anything we charge. They are billed to you directly by the storage provider you choose, under your own account with them. We do not add a markup to those charges and we take no share of them. A lapsed payment will never delete or lock the files in your own storage; they are yours regardless of any plan.

7. Third-party services

The App runs on your operating system and writes to a cloud storage provider that you choose and hold your own account with. Your agreement with that provider governs that account, including what it charges to keep your data, to request it, and to return it to you, and we are not responsible for its availability, pricing, performance, or policy changes. The Site depends on providers for hosting, email delivery, analytics, error monitoring, and security, as described in our Privacy Policy at https://tojuri.com/privacy. Plans are sold by Paddle.com, our reseller and Merchant of Record, under its buyer terms at https://www.paddle.com/legal/buyer-terms.

8. Intellectual property

We and our licensors own the Service, including all software, models, designs, and branding. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription in accordance with these Terms. You may not copy, modify, reverse engineer, resell, or create derivative works of the Service except as permitted by law.

If you give us feedback, we may use it without restriction or obligation.

9. Confidentiality

Each party will protect the other’s non-public information with reasonable care and use it only as needed to perform under these Terms, except where disclosure is required by law.

10. Warranty disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR DATA; AND (b) OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. THESE LIMITS DO NOT APPLY TO YOUR PAYMENT OBLIGATIONS, YOUR INDEMNIFICATION OBLIGATIONS, OR EITHER PARTY’S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.

12. Indemnification

You will defend and indemnify us against third-party claims arising from: (a) Customer Data; (b) the files you protect with the App, including any claim about your right to copy, keep, or move them; (c) your violation of these Terms or applicable law; or (d) your restricted or unlawful use of the Service.

13. Term, suspension, and termination

These Terms apply while you use the Site or the App. You may stop at any time by deleting the App; the files in your own storage remain yours, and your Recovery Kit together with the published recovery tool lets you reach them without us. We may terminate your license to the App for material breach of these Terms. We may also close your Tojuri account for material breach. Closing an account stops new storage keys for its computers. It does not touch the files in your storage, which you can still reach with your Recovery Kit and the published recovery tool. Because your content lives in storage you own, termination does not and cannot take your files away.

Sections that by their nature should survive (including 5 and 8 to 15) survive termination.

14. Governing law and disputes

These Terms are governed by the laws of the State of Maryland, without regard to conflicts-of-law rules. The state and federal courts located in Maryland will have exclusive jurisdiction, and each party consents to venue there. Each party waives any right to a jury trial to the extent permitted by law.

15. General

These Terms, together with the policies referenced in them, are the entire agreement between the parties regarding the Service and supersede prior agreements on that subject. We may update these Terms from time to time; for material changes we will provide notice (such as by email or in-product), and changes take effect at your next renewal or 30 days after notice, whichever is earlier. If any provision is unenforceable, the rest remain in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale. Neither party is liable for delays caused by events beyond its reasonable control.
